  3. Platform Purpose: Our platform, known as "Skeq", is designed to facilitate connections between users for calendar bookings, community participation, and communication. The platform enables users to:

    • Create and manage personal or business calendars for booking appointments and meetings
    • Participate in community forums and discussions
    • Communicate with other users through messaging features
    • Share and discover content within community spaces
    • Connect with like-minded individuals and organizations
  4. Key Definitions:

    • "Platform" or "Skeq" refers to our website, mobile applications, and all related services, features, and functionalities
    • "User" means any individual or entity that accesses or uses our platform
    • "Content" includes any text, images, videos, audio, documents, or other materials posted, uploaded, or shared on our platform
    • "Booking" refers to the scheduling of appointments, meetings, or events through our calendar system
    • "Community" means the forum and discussion areas where users can interact and share content
    • "Account" refers to your registered user profile and associated data on our platform
    • "Calendar Owner" means a user who creates and manages a calendar for others to book appointments or meetings
    • "Booking User" means a user who requests or makes bookings through another user's calendar
    • "User-Generated Content" means any content created, uploaded, or shared by users on our platform
    • "Third-Party Services" means external services, applications, or websites that may integrate with our platform
    • "Platform Fees" means any fees charged by Q Holdings for using certain features or services on our platform
    • "Community Guidelines" means the rules and standards for user behavior in community forums and discussions
    • "Terms" means these Terms of Use and any modifications or updates thereto
  5. The information provided on our platform is for general informational purposes only and should not be considered as professional advice. Each user should exercise their own judgment and seek appropriate professional advice when necessary, having regard to their specific circumstances and needs.

You should visit this page from time to time and review the Terms to ensure that you understand all the terms and conditions that apply to your access to and use of our platform. Your continued access to and/or use of our platform indicates your acceptance of the revised Terms.

Eligibility & User Account

Eligibility Requirements

  1. Age Requirement: You must be at least 18 years old to use our platform. If you are under 18, you may only use our platform with the involvement and consent of a parent or legal guardian.

  2. Legal Capacity: You must have the legal capacity to enter into binding agreements in your jurisdiction. If you are using our platform on behalf of an organization, you must have the authority to bind that organization to these Terms.

  3. Prohibited Users: You may not use our platform if:

    • You are prohibited from receiving or using our services under applicable law
    • You have been previously suspended or banned from our platform
    • You are located in a country that is subject to government embargo
    • You are on any government list of prohibited or restricted parties
  4. Accurate Information: You must provide accurate, current, and complete information during registration and keep your information updated. You may not use false information or impersonate another person or entity. You may not create accounts using automated systems, bots, or artificial intelligence, and you may not use AI-generated content to create fake or synthetic identities.

Account Registration and Security

  1. In order to access certain features of our platform, you must register to create an account ("Account"). You must complete the registration process by providing us with current, complete and accurate information. You will also choose a password.

  2. You are entirely responsible for maintaining the confidentiality of your password and account. You agree to notify Q Holdings immediately of any unauthorized use of your Account or any other breach of security.

  3. You will not share your password, let anyone else access your Account, or do anything else that might jeopardize the security of your Account. You will not transfer your Account to anyone without first getting Q Holdings' written permission.

  4. You agree that your Account will be self-directed and that you are solely responsible for all activities, bookings, communications, and content associated with your Account.

  5. Q Holdings reserves the right to suspend or terminate your Account if any information provided during the registration process or thereafter proves to be inaccurate, not current or incomplete, or if you violate these Terms.

  6. Account Verification: We may require you to verify your identity or provide additional information to maintain your Account. Failure to comply with verification requests may result in Account suspension or termination.

Scope of Services

Platform Services

  1. Calendar Booking Services: Our platform provides tools for users to create, manage, and share calendars for booking appointments, meetings, and events. Users can:

    • Create personal or business calendars with available time slots
    • Set booking rules, pricing, and availability preferences
    • Accept, decline, or reschedule booking requests
    • Manage multiple calendars and booking types
  2. Community Features: Our platform includes community functionality that allows users to:

    • Participate in forum discussions and community groups
    • Share content, ideas, and resources with other users
    • Create and join community events and activities
    • Connect with like-minded individuals and organizations
  3. Communication Tools: We provide messaging and communication features including:

    • Direct messaging between users
    • Group messaging and community discussions
    • Notification systems for bookings, messages, and community activities
    • File sharing and media upload capabilities
  4. User Profiles and Discovery: Users can:

    • Create detailed profiles showcasing their services, expertise, or interests
    • Search and discover other users, calendars, and community content
    • Build networks and professional connections
    • Share testimonials and reviews

Service Limitations and Disclaimers

  1. Platform as Intermediary: Q Holdings acts as an intermediary platform connecting users. We do not provide the actual services being booked or discussed through our platform. All transactions, agreements, and relationships between users are solely between those users.

  2. No Professional Advice: The information and content available on our platform is for general informational purposes only. We do not provide professional, legal, financial, medical, or other specialized advice. Users should seek appropriate professional advice for their specific needs.

  3. Service Availability: While we strive to maintain continuous platform availability, we do not guarantee uninterrupted access. Our platform may be temporarily unavailable due to maintenance, updates, technical issues, or other circumstances beyond our control.

  4. Third-Party Integration: Our platform may integrate with third-party services, applications, or websites. We are not responsible for the availability, functionality, or content of these third-party services.

  5. Geographic Restrictions: Some features or services may not be available in all geographic locations. We reserve the right to restrict access to certain features based on your location.

  6. Service Modifications: We reserve the right to modify, suspend, or discontinue any aspect of our platform or services at any time without prior notice. We may also add new features or services that may be subject to additional terms and conditions.

Bookings & Payment

Booking Process

  1. Booking Creation: Users can create bookings through our platform by selecting available time slots, providing required information, and submitting booking requests. All bookings are subject to availability and the calendar owner's approval.

  2. Booking Confirmation: Bookings are not confirmed until explicitly accepted by the calendar owner. Calendar owners have the right to accept, decline, or request modifications to any booking request. To assist in this decision, calendar owners may view your public profile information and booking history. By using our platform, you consent to this information being shared with calendar owners when you request bookings.

  3. Booking Modifications: Users may request to modify or reschedule existing bookings, subject to availability and the calendar owner's approval. Modifications may be subject to additional terms or fees as determined by the calendar owner.

  4. Booking Cancellations: Users may cancel bookings in accordance with the calendar owner's cancellation policy. Calendar owners may also cancel bookings with appropriate notice to the booking user.

Payment Terms

  1. Payment Processing: Our platform may facilitate payment processing for bookings, but we are not a party to the payment transaction between users. All payment terms, including amounts, methods, and timing, are determined by the calendar owner.

  2. Payment Responsibility: Users are solely responsible for all payments related to their bookings. Q Holdings is not responsible for payment disputes, refunds, or chargebacks between users.

  3. Platform Fees: We may charge platform fees for certain services or features. Any applicable fees will be clearly disclosed before you use the service. Platform fees are separate from any payments between users for bookings.

  4. Refunds: Refund policies are determined by individual calendar owners, not by Q Holdings. We do not guarantee refunds and are not responsible for processing refunds between users.

Booking Disputes

  1. User Disputes: Any disputes regarding bookings, payments, or services provided through our platform are between the users involved. Q Holdings is not responsible for resolving such disputes.

  2. Platform Intervention: While we may provide tools to help resolve disputes, we are not obligated to intervene in user disputes and our involvement does not create any liability on our part.

  3. Booking Records: We maintain records of bookings for platform functionality and support purposes, but these records do not constitute legal agreements between users.

User Obligations

Content and Media Uploads

  1. Legal Content: You are solely responsible for all content you upload, post, or share on our platform, including text, images, videos, audio files, documents, and other media. You warrant that all content you upload is:

    • Legal and does not violate any applicable laws or regulations
    • Your original work or you have proper authorization to use it
    • Free from copyright, trademark, or other intellectual property violations
    • Not defamatory, libelous, or invasive of privacy rights
  2. Prohibited Content: You may not upload, post, or share content that:

    • Contains illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or hateful material
    • Infringes on intellectual property rights of others
    • Contains personal information of others without consent
    • Promotes violence, discrimination, or illegal activities
    • Contains malware, viruses, or other harmful code
    • Is spam, unsolicited advertising, or promotional material
    • Is generated by artificial intelligence to misrepresent your identity or create fake personas
    • Uses AI-generated content to impersonate real people or create synthetic identities

User Conduct and Behavior

  1. No Impersonation: You may not impersonate any person or entity, including but not limited to:

    • Creating fake accounts or profiles using automated systems, bots, or artificial intelligence
    • Using someone else's name, image, or identity without permission
    • Pretending to be affiliated with organizations you are not associated with
    • Creating misleading or deceptive profiles using AI-generated content or synthetic identities
    • Using AI to generate fake reviews, testimonials, or other content that misrepresents your identity
  2. Forum and Community Behavior: When participating in community forums, discussions, or other interactive features, you must:

    • Be respectful and courteous to other users
    • Stay on topic and contribute meaningfully to discussions
    • Not engage in harassment, bullying, or intimidation
    • Not post repetitive, irrelevant, or off-topic content
    • Not disrupt or interfere with community activities
    • Follow community guidelines and moderator instructions
  3. Professional Conduct: You agree to conduct yourself professionally when using our platform, especially when:

    • Creating and managing calendar bookings
    • Communicating with other users
    • Participating in community discussions
    • Representing yourself or your organization

Platform Usage

  1. Lawful Use: You agree to use our platform only for lawful purposes and in accordance with these Terms. You may not:

    • Use the platform to violate any applicable laws or regulations
    • Attempt to gain unauthorized access to our systems or other users' accounts
    • Interfere with or disrupt the platform's operation
    • Use automated systems, bots, crawlers, or scrapers to access the platform without permission
    • Scrape, harvest, or systematically collect data, content, or information from our platform
    • Create databases or repositories by downloading, copying, or extracting platform content
    • Use any automated means to monitor, copy, or download user profiles, booking information, or community content
    • Reverse engineer, decompile, or attempt to extract source code or underlying data structures
  2. Account Security: You are responsible for:

    • Maintaining the security of your account credentials
    • All activities that occur under your account
    • Notifying us immediately of any unauthorized access
    • Using strong, unique passwords and keeping them confidential
  3. Compliance with Policies: You agree to comply with all applicable laws, regulations, and our platform policies, including but not limited to:

    • Privacy policies and data protection requirements
    • Anti-spam and anti-fraud policies
    • Intellectual property protection requirements
    • Community guidelines and acceptable use policies

Consequences of Violations

  1. Content Removal: We reserve the right to remove any content that violates these Terms or is otherwise objectionable, without prior notice.

  2. Account Actions: Violations of these obligations may result in:

    • Warning notifications
    • Temporary or permanent suspension of your account
    • Removal of content or posts
    • Termination of access to platform features
    • Legal action where appropriate

Platform Rights & Responsibilities

  1. Service Modification: Q Holdings reserves the right to modify, update, or discontinue any aspect of our platform, including features, functionality, and services, at any time without prior notice.

  2. Content Management: We reserve the right to:

    • Monitor, review, and moderate content posted on our platform
    • Remove or restrict access to content that violates these Terms
    • Suspend or terminate accounts that violate our policies
    • Implement automated content filtering and moderation systems
  3. Access Control: We may:

    • Restrict or deny access to our platform for any reason
    • Implement usage limits or quotas
    • Block or filter certain types of content or activities
    • Require additional verification for certain features
  4. Intellectual Property: Q Holdings retains all rights, title, and interest in our platform, including:

    • Software, code, and technical infrastructure
    • Trademarks, logos, and branding
    • Platform design and user interface
    • Proprietary algorithms and systems
  5. User-Generated Content: With respect to content you upload, post, or share on our platform:

    • You retain ownership of your original content
    • You grant Q Holdings a non-exclusive, royalty-free, worldwide license to use, display, distribute, and modify your content for platform operation and improvement
    • This license allows us to host, store, and make your content available to other users as intended by the platform's functionality
    • You represent that you have all necessary rights to grant this license
    • We may remove your content if it violates these Terms or applicable law

Platform Responsibilities

  1. Service Availability: We strive to maintain reasonable service availability and will provide notice of planned maintenance when possible. However, we do not guarantee uninterrupted access.

  2. Data Security: We implement reasonable security measures to protect user data, but cannot guarantee absolute security against all threats.

  3. Privacy Protection: We are committed to protecting user privacy in accordance with applicable data protection laws and our Privacy Statement.

  4. Terms Enforcement: We will enforce these Terms fairly and consistently, taking appropriate action against violations while respecting user rights.

  5. Support Services: We provide customer support and technical assistance to help users resolve issues with our platform.

  6. Compliance: We maintain compliance with applicable laws and regulations in the jurisdictions where we operate.

Limitation of Liability

General Limitations

  1. Use at Your Own Risk: The information and services provided on our platform are accessed and used at your own risk. To the fullest extent permitted by applicable law, Q Holdings and its affiliates, subsidiaries, employees, agents, partners, principals and representatives shall not be liable for any direct, indirect, incidental, special, exemplary, consequential or other damages whatsoever.

  2. Scope of Damages: This limitation includes but is not limited to liability for:

    • Loss of use, data, or profits
    • Business interruption or loss of business opportunities
    • Personal injury or property damage
    • Contract, negligence, or other tortious actions
    • Any damages arising out of or in connection with our platform
  3. Third-Party Technologies: The accessibility and operation of our platform relies on technologies outside our control, including:

    • Internet connectivity and network infrastructure
    • Third-party hosting and cloud services
    • Browser and device compatibility
    • Third-party integrations and APIs

    We are not responsible for such technologies and you agree to bear all risks associated with these technologies.

Platform-Specific Limitations

  1. User Interactions: Q Holdings is not liable for:

    • Disputes between users regarding bookings, payments, or services
    • Misconduct, fraud, or illegal activities by other users
    • Content posted by other users that may be offensive, inaccurate, or harmful
    • Services provided by users through our platform
  2. Service Availability: We are not liable for:

    • Temporary unavailability of our platform due to maintenance, updates, or technical issues
    • Loss of data due to system failures or security breaches
    • Interruptions in service due to circumstances beyond our control
    • Changes or discontinuation of platform features
  3. Content and Information: We are not liable for:

    • Accuracy, completeness, or reliability of user-generated content
    • Professional advice or services provided by users through our platform
    • Investment decisions or business decisions made based on platform content
    • Third-party content or external links

Maximum Liability

  1. Liability Cap: In no event shall Q Holdings' total liability to you for all damages, losses, or causes of action exceed the amount you have paid to us in the twelve (12) months immediately preceding the event giving rise to such liability.

  2. Essential Purpose: The limitations and exclusions in this section apply regardless of the legal theory on which the claim is based, including contract, tort, negligence, strict liability, or otherwise, and even if we have been advised of the possibility of such damages.

Termination & Suspension

Account Termination by Users

  1. Voluntary Termination: You may terminate your account at any time by contacting us or using account deletion features available on our platform. Upon termination, your access to the platform will cease immediately.

  2. Data Retention After Termination: After account termination:

    • Your profile and personal information will be removed from our platform
    • Your content may be retained for a reasonable period for legal and operational purposes
    • Some data may be retained in anonymized form for platform analytics and improvement
    • We will comply with applicable data protection laws regarding data retention and deletion

Account Suspension and Termination by Q Holdings

  1. Grounds for Suspension/Termination: We may suspend or terminate your account if you:

    • Violate these Terms or our community guidelines
    • Engage in fraudulent, illegal, or harmful activities
    • Provide false or misleading information
    • Abuse or misuse our platform features
    • Fail to comply with applicable laws or regulations
  2. Suspension Process:

    • We may provide notice of suspension and an opportunity to address violations
    • Temporary suspensions may be imposed for minor violations
    • Permanent termination may occur for serious or repeated violations
    • We reserve the right to terminate accounts immediately for severe violations

    • Active bookings may be cancelled or transferred
    • You will remain liable for any outstanding obligations

Survival of Terms

    • Intellectual property rights and licenses
    • Dispute resolution and governing law provisions
    • Any obligations that by their nature should survive termination
  2. No Refund: No refunds will be provided upon account termination.

Dispute Resolution & Governing Law

Dispute Resolution Process

  1. Informal Resolution: Before pursuing formal legal action, you agree to first attempt to resolve any dispute with Q Holdings through good faith negotiations. You may contact us through our customer support channels to discuss and attempt to resolve the dispute.

  2. Mediation: If informal resolution is unsuccessful, either party may request mediation through a mutually agreed mediator. The costs of mediation will be shared equally between the parties.

  3. Binding Arbitration: If mediation is unsuccessful or not pursued, any dispute arising out of or relating to these Terms or your use of our platform shall be resolved through binding arbitration in accordance with internationally recognized arbitration rules.

Governing Law and Jurisdiction

  1. Governing Law: These Terms and your use of our platform shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

  2. Jurisdiction: Any legal action or proceeding arising out of or relating to these Terms or your use of our platform shall be brought in courts of competent jurisdiction, and you consent to the personal jurisdiction of such courts.

  3. Limitation Period: Any claim you may have against us in connection with these Terms or your access and use of our platform must be commenced within one (1) year from the date the claim arose, or such claim will be forever barred.

Class Action Waiver
